THESE TERMS OF USE GOVERN YOUR ACCESS TO AND USE OF www.oneisac.org, INCLUDING ALL INFORMATION, SERVICES AND CONTENT PROVIDED ON OR THROUGH www.oneisac.org (COLLECTIVELY, THE “SITE”). BY ACCEPTING THESE TERMS OR BY ACCESSING AND USING THE SITE, YOU AGREE THAT: (1) YOU HAVE READ AND AGREE TO BE BOUND BY THESE TERMS OF USE, AND (2) THESE TERMS OF USE CONSTITUTE A BINDING AGREEMENT BETWEEN YOU AND ONG-ISAC (“ONG-ISAC”, “WE”, OR “US”). The Site, including all information, services, images, logos, trademarks, graphics, software, and other content made available by ONG-ISAC on or through the Site (collectively, the “Site Content”) are the sole property of ONG-ISAC or its licensors and are protected by copyright and other laws, both in the United States and in other countries. You may not reproduce, modify, republish, distribute, resell, broadcast, reverse-engineer, create derivative works from or otherwise exploit in any manner, in whole or in part, the Site Content, except to the extent expressly permitted in these Terms of Use or otherwise in writing by ONG-ISAC. You may download and copy Site Content made available to you on the Site only for noncommercial purposes consistent with the purposes set forth on the Site, provided that you keep intact any copyright or other proprietary notices displayed with such content. Except for this limited license, ONG-ISAC does not grant you any interest or rights in or to the Site Content. All rights not expressly granted herein are reserved by ONG-ISAC and its licensors.

ONG-ISAC makes no representations or warranties regarding any such third-party website, application or services. User Material

The Site may contain submission forms and other functionality which enables you to submit information, questions, requests, and other content to the Site (collectively, “User Material”). You represent and warrant that any information included in User Material you submit to the Site is accurate and complete and that you have all necessary rights and permissions to provide such User Material to ONG-ISAC for use in the manner contemplated on the Site. You acknowledge that ONG-ISAC has no obligation to keep any User Material you submit confidential. IF YOU CHOOSE TO SUBMIT ANY USER MATERIAL TO THE SITE, YOU DO SO AT YOUR OWN RISK.

Prohibited Uses

You represent and warrant to us that you will not use the Site for any purpose that is unlawful or prohibited by these Terms of Use. You are responsible for complying with all local rules, laws, and regulations when using the Site. You agree that you will not:

  • (I) attempt to gain unauthorized access to the Site, or any part of it, computer systems or networks connected to the Site, or any part of it through hacking or any other means;
  • (II) attempt to decipher, decompile, disassemble, or reverse-engineer any of the code comprising or in any way making up a part of the Site;
  • (III) use or access the Site in any manner that, in our sole discretion, could damage, disable, overburden, or impair the Site or interfere with any other party’s use of the Site;
  • (IV) take any action or upload, download, submit or otherwise distribute or facilitate distribution of any content on or through the Site that is unlawful, fraudulent, deceptive, false, misleading, untruthful or inaccurate;

If we, in our sole discretion, believe that you may have engaged in any activities restricted by these Terms or by law, we may take any or all of the following actions:

  • (II) refuse to allow you to use the Site in the future;
  • (III) take legal action against you; or
  • (IV) hold you liable for any damages we incur as a result of your violation of these Terms of Use.

Warranty Disclaimer

THE SITE AND ITS CONTENT ARE PROVIDED BY US ON AN “AS IS” AND “AS AVAILABLE” BASIS. ONG-ISAC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING: (1) THE SITE CONTENT, INCLUDING BUT NOT LIMITED TO (A) THE ACCURACY, COMPLETENESS, SECURITY, AVAILABILITY OR TIMELINESS OF THE SITE CONTENT, OR (B) THE RESULTS OBTAINED OR TO BE OBTAINED FROM THE SITE CONTENT; OR (2) THE ABSENCE OF ANY MALWARE OR OTHER HARMFUL CODE ON THE SITE OR WITHIN ANY SITE CONTENT. ONG-ISAC AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.
CERTAIN JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, AND ACCORDINGLY, THE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU. IF YOU ARE A CONSUMER, ANY STATUTORY RIGHTS THAT CANNOT BE WAIVED BY YOU ARE UNAFFECTED BY THIS SECTION.

Limitation of Liability

IN NO EVENT WILL ONG-ISAC OR ITS LICENSORS BE LIABLE TO YOU FOR ANY INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR LOST REVENUES OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, DELICT OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT ONG-ISAC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL ONG-ISAC’S AGGREGATE LIABILITY TO YOU IN CONNECTION WITH THE SITE EXCEED FIFTY DOLLARS.
BECAUSE SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OF DAMAGES, ONG-ISAC’S LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF SUCH JURISDICTION.

Indemnity

You agree to indemnify, defend and hold harmless ONG-ISAC and each of their respective officers, directors, employees, agents, licensors and representatives, from and against all losses, expenses, damages, fines, penalties and other costs, including reasonable attorney fees, arising out of or related to (1) your use or misuse of the Site, including any Site Content; (2) your breach of these Terms of Use; or (3) any User Materials submitted by you to the Site. ONG-ISAC reserves the right to assume the exclusive defense and control of any matter that is subject to indemnification under this section, in which event you agree to cooperate with any reasonable requests assisting our defense of such matter.

Governing Law

All questions concerning the construction, validity, enforcement and interpretation of this Agreement shall be governed by and construed in accordance with the domestic laws of the State of Texas, without giving effect to any choice of law or conflict of law.

General

To the extent any portion of these Terms of Use is determined to be unenforceable by a court of competent jurisdiction, such portion will be modified solely to the extent necessary to cause such portion to be enforceable, and these Terms of Use, as modified, will remain in full force and effect. This is the entire agreement between you and ONG-ISAC relating to the subject matter herein.
